Dans sa requ\u00eate, la VFO cherchait \u00e0 obtenir une d\u00e9claration selon laquelle sa convention collective avec la VMA \u00e9tait pleinement en vigueur. La VMA est la section locale de Vancouver de la CFM et de l\u2019AFM. La VMA, la CFM et l\u2019AFM sont d\u2019avis que la convention collective entre la VFM et la VFO n\u2019est pas une convention collective telle que d\u00e9finie par le Code. La FEVMA soutient la VFO dans la pr\u00e9sente requ\u00eate.<\/p><p>La question centrale de cette affaire \u00e9tait de savoir si la VFO avait la comp\u00e9tence pour conclure une convention collective malgr\u00e9 l\u2019exigence de l'AFM que toutes les conventions collectives soient approuv\u00e9es par le pr\u00e9sident de l\u2019AFM.<\/p><p>Aux alentours de 2011, l\u2019AFM, le conseil ex\u00e9cutif international de l\u2019AFM (le \u00ab CEI \u00bb), le CFM, les dirigeants de la VMA et la VFO ont entam\u00e9 des discussions quant \u00e0 la conclusion potentielle d\u2019une convention collective. En f\u00e9vrier 2012, la VFO a envoy\u00e9 un courriel \u00e0 la CFM indiquant que, pour r\u00e9ussir dans leurs activit\u00e9s commerciales, ils exigeaient une clause permettant un paiement anticip\u00e9\/rachat aux musiciens pour l'utilisation suppl\u00e9mentaire de leur musique (une clause qui est interdite par l\u2019AFM). La CFM a r\u00e9pondu par courriel \u00e0 la VFO affirmant \u00ab qu'il n\u2019\u00e9tait pas n\u00e9cessaire de discuter des restrictions de rachat sans que le CEI ne soit directement impliqu\u00e9 \u00bb. Ayant d\u00e9j\u00e0 \u00e9chou\u00e9 \u00e0 n\u00e9gocier avec le CEI une clause de paiement anticip\u00e9, \u00e0 l\u2019insu du CEI, la VFO a contact\u00e9 directement la VMA pour n\u00e9gocier une convention collective. Par la suite, la VFO et la VMA ont d\u00e9but\u00e9 le processus de n\u00e9gociation collective. Suite \u00e0 de nombreuses rencontres entre la VFO et la VMA, ils ont n\u00e9goci\u00e9 une convention collective qui comprenait une clause de paiement anticip\u00e9\/rachat. La convention collective a \u00e9t\u00e9 ratifi\u00e9e par les membres de la VMA.<\/p><p>En mai 2013, l'AFM a pris connaissance de la convention collective et de la disposition de paiement anticip\u00e9\/rachat et a r\u00e9pondu, entre autres, en refusant de reconna\u00eetre la convention collective et en pla\u00e7ant la VMA sous tutelle. En outre, la caisse de retraite des musiciens de l'AFM a refus\u00e9 d'accepter les cotisations de retraite de la VFO au nom de musiciens qui ont travaill\u00e9 en vertu de la convention collective. L\u2019AFM est d\u2019avis que la convention collective n\u2019en est pas une en vigueur puisqu\u2019elle a \u00e9t\u00e9 conclue contrairement aux r\u00e8glements administratifs de l\u2019AFM qui exigent que les sections locales de l'AFM obtiennent l'autorisation \u00e9crite du pr\u00e9sident de l\u2019AFM avant de conclure toute convention.<\/p><p><strong>Analyse et D\u00e9cision<\/strong><\/p><p>La Commission a d'abord examin\u00e9 la constitution et les r\u00e8glements administratifs de l'AFM et a conclu que la VMA n'avait pas l'autorit\u00e9 pour lier l\u2019AFM \u00e0 une convention collective.<\/p><p>La Commission a ensuite examin\u00e9 s'il \u00e9tait possible pour la VFO de conclure que la VMA avait le pouvoir apparent de signer la convention collective. La Commission a examin\u00e9 les circonstances entourant le processus de n\u00e9gociation collective et a conclu que selon les \u00e9changes de courrier \u00e9lectronique et l'\u00e9chec des n\u00e9gociations avec la CEI, le VFO savait que VMA n\u2019avait pas le pouvoir d\u2019accepter une clause de remboursement anticip\u00e9. Par cons\u00e9quent, la Commission a statu\u00e9 que sauf \u00e0 ce que la VMA d\u00e9montre \u00e0 la VFO un changement quant \u00e0 son pouvoir, la VFO savait que la VMA n'avait pas le pouvoir de conclure la convention collective.
